Nyfosa issues new senior unsecured green bonds of SEK 450 mi

Nyfosa AB ("Nyfosa" or the "Company") has successfully placed senior unsecured green bonds in an initial amount of SEK 450 million under a total framework of SEK 750 million (the "New Green Bonds"). The New Green Bonds carry a floating rate of three-month STIBOR + 225 basis points. The issue date of the New Green Bonds will be 12 June 2025, and the New Green Bonds will mature on 15 October 2028. Nyfosa intends to apply for admission to trading of the New Green Bonds on Nasdaq Stockholm's sustainable bond list. An amount corresponding to the net proceeds from the New Green Bonds will be used in accordance with the Company's established framework for green financing and for repurchase of parts of Nyfosa's outstanding senior unsecured green bonds with ISIN SE0020052967 and the Company's subordinated hybrid bonds with ISIN SE0017084486 (the “Tender Offer”), as announced by way of a press release on 2 June 2025. As previously communicated, the Tender Offer will expire no later than 11:00 CEST on 10 June 2025, unless extended, reopened, withdrawn or terminated at the discretion of the Company.

Nordea Bank Abp and Skandinaviska Enskilda Banken AB (publ) have acted as arrangers and joint bookrunners in connection with the issue of the New Green Bonds. Advokatfirman Cederquist KB has acted as legal advisor in connection with the New Green Bonds.
