Dellia Group ASA - Mandatory notification of trade by primary insider and disclosure of large shareholding

Reference is made to the stock exchange announcement made by Dellia Group ASA
("Dellia" or the "Company") on 18 September 2026 regarding completion of the
acquisition of Kirirom Food Production (K.F.P) Co., Ltd. (the "Transaction").

Dalis Chhorn, board member and primary insider of Dellia, has today subscribed
for 2,481,672 new shares in Dellia and will in addition receive 615,160 treasury
shares in Dellia, in total 3,096,832 shares, as settlement of part of the
purchase price in the Transaction.

Prior to the Transaction, Ms. Chhorn did not hold any shares in Dellia.
Following the Transaction, she holds a total of 3,096,832 shares in Dellia,
corresponding to approximately 6.7% of the issued shares and votes in the
Company.

Pending establishment of a VPS account for Ms. Chhorn, the shares will be
temporarily placed on a VPS account held by Storli Holding AS, a company owned
by CEO Jan Storli Eriksen. This will temporarily increase the number of shares
registered on Storli Holding AS' VPS account from 5,520,232 shares (11.96%) to
8,617,064 shares (18.67%) of the issued shares and votes in the Company. All
rights related to the shares, including beneficial ownership, will remain with
Ms. Chhorn, and the shares will be transferred to her VPS account once the
account has been established.
