Goobit Group (BTCX) has completed the transition to Execution of Orders
Goobit Group AB (NGM: BTCX) announces that the company has transitioned its client order flows from principal trading to Execution of Orders. The model has been in operation since 18 August 2026 and means that client orders are executed on behalf of the client through external liquidity sources. The transition forms part of the company’s adaptation to the EU Regulation on Markets in Crypto-Assets, MiCA.
What the change means
MiCA distinguishes between the exchange of crypto-assets where the service provider uses its own capital, and the execution of orders on behalf of clients, known as Execution of Orders. Under the latter model, Goobit acts on behalf of the client and is subject to the requirement to take all necessary steps to obtain the best possible result for the client.
Effect on operations
The model reduces capital tied up, inventory risk and price exposure compared with principal trading, where the company acts as direct counterparty in client transactions. At the same time, it increases the dependence on access to external liquidity, which Goobit manages through established procedures for order execution and counterparty monitoring.
Effect on reporting
Transactions executed under the new model are reported on a net basis. The change results in a significant decrease in reported revenue and exchange costs, while gross profit and other parts of the income statement and balance sheet are unaffected. Transaction volume is not affected.
The effect is significant. Had the net method been applied to all exchange services during the financial year 2025/2026, reported revenue would have amounted to approximately 12.4 MSEK, compared with the reported 97.1 MSEK. For the fourth quarter of 2025/2026, the corresponding figure would have been approximately 4.6 MSEK, compared with the reported 24.2 MSEK. Gross profit for these periods, 10.5 MSEK and 4.1 MSEK respectively, is unchanged.
As the model was taken into operation on 18 August, the second quarter of 2026/2027 will be partly affected, with gross reporting up to and including 17 August and net reporting thereafter. The full effect for a complete reporting period will first arise in the third quarter of 2026/2027.
Goobit intends to continue reporting transaction volume as a supplementary key figure. Transaction volume refers to the aggregate value of executed client transactions, corresponding to revenue under the previous accounting treatment. A reconciliation against reported revenue will be provided in forthcoming interim reports.
Comment from the CEO
"With Execution of Orders we execute every client order against market liquidity rather than against our own inventory. This gives clients greater transparency in pricing and makes the business less capital intensive and easier to scale. Reported revenue will be lower, but gross profit and the underlying business are unchanged, which is why we continue to report transaction volume," says Gustav Buder, CEO of Goobit Group AB.
